Welcome to TableChat. These Terms of Service ("Terms") govern your access to and use of TableChat's website, services, and AI-powered restaurant reservation platform (collectively, the "Service"), operated by Fintera Inc. ("we," "us," or "our").

By accessing or using our Service, you agree to be bound by these Terms. If you do not agree to these Terms, do not use our Service.

1. Acceptance of Terms

By creating an account, making a reservation, or using any part of our Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.

2. Description of Service

TableChat is an AI-powered restaurant reservation platform that:

• Allows users to search for and book restaurant reservations using conversational AI
• Connects diners with participating restaurants
• Provides reservation management tools for restaurants
• Sends booking confirmations and reminders via email

TableChat acts as an intermediary between diners and restaurants. We facilitate reservations but do not operate the restaurants or provide food services.

3. Eligibility

You must be at least 18 years old to use our Service. By using TableChat, you represent and warrant that you meet this age requirement.

4. User Accounts

Account Creation

To make reservations, you may need to provide:

• Your name
• Email address
• Phone number

Account Responsibilities

You are responsible for:

• Providing accurate, current, and complete information
• Maintaining the confidentiality of your account information
• All activities that occur under your account
• Notifying us immediately of any unauthorized use

5. Reservations and Bookings

Making Reservations

When you make a reservation through TableChat:

• You are entering into a direct agreement with the restaurant
• You agree to honor your reservation or cancel according to the restaurant's policy
• You will receive a confirmation email with reservation details
• You must arrive on time for your reservation

Reservation Confirmations

Reservations are not guaranteed until you receive confirmation from TableChat. We strive for accuracy but cannot guarantee that all requested reservations will be available or confirmed.

Cancellations and Changes

To cancel or modify a reservation:

• Contact us at support@tablechat-ai.com
• Provide your reservation confirmation number
• Allow reasonable time for the restaurant to process changes
• Note that some restaurants may have specific cancellation policies or fees

No-Shows

Repeated no-shows (failure to honor confirmed reservations without cancellation) may result in:

• Suspension or termination of your TableChat account
• Being blocked from future reservations
• Potential charges if the restaurant has a no-show fee policy

6. Restaurant Partner Terms

For Participating Restaurants

Restaurants that partner with TableChat agree to:

• Maintain accurate availability information
• Honor confirmed reservations made through our platform
• Provide quality service to TableChat customers
• Comply with all applicable laws and regulations
• Pay agreed-upon fees as outlined in their service agreement

Restaurant Responsibilities

Restaurants are solely responsible for:

• The quality of food and service provided
• Compliance with health and safety regulations
• Their pricing, menu, and policies
• Managing their restaurant operations

7. Fees and Payments

For Diners

TableChat's reservation service is currently free for diners. We reserve the right to introduce fees in the future with advance notice.

For Restaurants

Restaurant partners pay subscription and/or per-booking fees as outlined in their service agreement. Pricing is subject to change with 30 days' notice.

8. Prohibited Conduct

You agree NOT to:

• Make fake or fraudulent reservations
• Use the Service for any illegal purpose
• Harass, abuse, or harm restaurants or other users
• Attempt to manipulate or game the reservation system
• Copy, modify, or reverse engineer any part of our Service
• Use automated systems (bots) to make reservations
• Interfere with or disrupt the Service
• Impersonate any person or entity
• Collect user information without permission

9. Intellectual Property

All content on TableChat, including but not limited to:

• Text, graphics, logos, and images
• Software and code
• AI algorithms and functionality
• Design and layout

You may not use, copy, reproduce, or distribute any content from our Service without our express written permission.

10. AI-Powered Features

Our Service uses artificial intelligence to:

• Process natural language queries
• Match users with appropriate restaurants
• Provide personalized recommendations

You acknowledge that:

• AI-generated responses may not always be 100% accurate
• You should verify important details in your confirmation email
• AI recommendations are suggestions, not guarantees of satisfaction

11. Disclaimers and Limitation of Liability

Service "As Is"

TableChat is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

No Guarantee of Availability

We do not guarantee that:

• The Service will be uninterrupted or error-free
• Defects will be corrected
• The Service is free of viruses or harmful components
• Restaurant availability information is always accurate

Restaurant Responsibility

TableChat is not responsible for:

• The quality of food or service at restaurants
• Restaurant policies, pricing, or operations
• Health or safety issues at restaurant locations
• Restaurants' failure to honor reservations
• Any disputes between you and restaurants

Limitation of Liability

To the maximum extent permitted by law, Fintera Inc. and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:

• Loss of profits, revenue, or data
• Personal injury or property damage
• Food poisoning or allergic reactions
• Disappointment with restaurant experiences

Our total liability to you for any claims arising from your use of TableChat shall not exceed $100 or the amount you paid us in the past 12 months, whichever is greater.

12. Indemnification

You agree to indemnify, defend, and hold harmless Fintera Inc. and its affiliates from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any rights of another party
• Your conduct at any restaurant

13. Termination

By You

You may stop using our Service at any time by contacting us at support@tablechat-ai.com to request account deletion.

By Us

We reserve the right to suspend or terminate your access to TableChat at any time, with or without notice, for:

• Violation of these Terms
• Fraudulent or illegal activity
• Repeated no-shows
• Abusive behavior toward restaurants or staff
• Any reason at our sole discretion

Upon termination, your right to use the Service will immediately cease.

14. Changes to Terms

We may modify these Terms at any time. When we do, we will:

• Update the "Last Updated" date at the top of this page
• Notify you via email or through the Service
• Give you the opportunity to review the changes

Your continued use of TableChat after changes are posted constitutes your acceptance of the modified Terms.

15. Dispute Resolution

Informal Resolution

If you have a dispute with TableChat, please contact us first at support@tablechat-ai.com. We will attempt to resolve the issue informally.

Arbitration

If we cannot resolve a dispute informally within 30 days, any legal dispute shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.

Class Action Waiver

You agree to resolve disputes with us only on an individual basis and waive any right to participate in class-action lawsuits or class-wide arbitration.

16. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

17. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

18. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Fintera Inc. regarding your use of TableChat.
